Overview
By using the Redpath Intelligence and Security Agency website and services, you agree to these Terms of Service. All client engagements are governed by a Master Services Agreement (MSA), which establishes detailed terms and conditions. Specific engagements are defined in individual Statements of Work (SOWs) signed by both parties.

Redpath Intelligence and Security Agency is a fully licensed private investigation and security agency under the Private Security and Investigative Services Act (PSISA), Ontario. All services are conducted in strict compliance with PSISA, the Regulation 664, and applicable Canadian privacy and evidence-handling laws.

Key Terms

  • Payment: Payment terms are specified in individual SOWs. Work begins upon receipt of required deposits. Late payments accrue interest at the rate permitted by Ontario law.

  • Deliverables: Clients receive one round of revisions per deliverable. Additional changes may require scope adjustments and are subject to separate agreement.

  • Cancellation: Cancellation terms vary by engagement type and are detailed in signed agreements. Project-based work includes cancellation fees based on completion percentage. Retainer arrangements require 30 days’ written notice.

  • Intellectual Property: Upon full payment, customized deliverables become client property. Redpath retains rights to all methodologies, frameworks, tools, and proprietary intelligence models.

  • Confidentiality & PSISA Compliance:

    All personnel are bound by PSISA confidentiality obligations. Client data, investigation findings, and intelligence reports are protected under PSISA Section 28 and PIPEDA. No information is disclosed except as required by law or with client consent.

  • Limitation of Liability: Redpath’s liability is limited to fees paid under the applicable engagement. We are not liable for indirect, consequential, or punitive damages. We provide intelligence and security guidance but do not offer legal, financial, tax, or regulatory compliance advice.

  • Independent Contractor: Redpath operates as an independent contractor, not as an employee, partner, or agent of client organizations.

  • Governing Law: These terms are governed by the laws of Ontario, Canada.

PSISA Licensing Disclosure
Redpath Intelligence and Security Agency holds active license(s) under the Private Security and Investigative Services Act, 2005 (PSISA), issued by the Ministry of Public Safety and Solicitor General, Ontario. Agency License number is 30000406.

We implement robust security measures, including end-to-end encryption, multi-factor authentication, access controls, and regular security audits. All intelligence and investigation data is stored securely and handled in accordance with PSISA Section 28 (Confidentiality) and PIPEDA.

Data Breach Notification
In the event of a breach of security safeguards involving your personal information that poses a real risk of significant harm, Redpath will notify you and the Office of the Privacy Commissioner of Canada as required under PIPEDA's Breach of Security Safeguards Regulations. Records of all security breaches are maintained, and notification will be provided in a timely manner along with guidance on steps you can take to protect yourself.

Cross-Border Data Transfers
Some of Redpath's service providers, including secure communication platforms, website hosting, and payment processing partners, may be located outside of Canada, including in the United States. As a result, your personal information may be transferred to, stored in, or processed in a foreign jurisdiction. When your nformation is transferred outside Canada, it becomes subject to the laws of that jurisdiction, which may differ from Canadian privacy law. Redpath ensures that any third parties handling your personal information are bound by contractual obligations to protect it in a manner consistent with PIPEDA and Redpath's privacy practices. Your Rights
Under Canadian privacy laws (PIPEDA), you have the right to:
